On November 18, 2025, students in Professor Barbara Magnanelli’s Financial Statement Analysis class had the pleasure of welcoming Marco Bottini, Associate Partner at KPMG Advisory S.p.A., for an insightful guest lecture on Financial Restructuring.
Financial restructuring entails a company taking account of their assets and liabilities and restructuring them in a way that maximizes the business, especially when the company cannot meet their specific service needs or they have existing debt.
The lecture offered a comprehensive overview, covering everything from drafting a robust business plan to examining the mechanisms for debt restructuring in Italy and overseeing the entire restructuring process. The seminar provided students with a practical, real-world perspective on how companies navigate financial challenges and design sustainable turnaround strategies.
Bottini opened the session with an introduction to the concepts of “turnaround” and “restructuring,” which are fundamental when a business experiences financial difficulties. Bottini explained how KPMG approaches these situations, starting with a deep diagnostic of the industry, followed by the development of a recovery strategy tailored to the company’s operational and financial realities. “Firms should not go to consultants only when they have an emergency, but to prevent them and to remain competitive,” said Bottini.
Moreover, Bottini highlighted how the importance of financial projections and the use of tools such as CNC (currently Italy’s key mechanism for resolving corporate crises), debt rescheduling, and covenant renegotiation can determine whether a company preserves value or faces irreversible deterioration.
Following his presentation, Bottini invited students to ask questions. The interactive discussion provided a unique look into the decision-making procedures underlying distressed mergers and acquisitions, refinancing, and strategic repositioning. The lecture provided a closer look at how consulting firms like KPMG help businesses support companies facing financial instability.
