Constitution

Article I: Name

The association shall be known as the John Cabot University Alumni Association.

Article II: Purpose

The purpose of the Association shall be to establish mutually beneficial relations between John Cabot University and its alumni, to promote bonds of friendship and mutual help among the alumni of the University for the advancement of their alma mater.

Article III: Headquarters

The headquarters of the Association shall be at John Cabot University.

Article IV: Membership

Section 1. Those persons who have been awarded earned degrees by the University shall automatically be regular members of this Association.

Section 2. Any other person who has been a regularly enrolled student at the University shall become a regular member upon request to, and subsequent approval by, the Board of Directors of the Association.

Section 3. Members of the Board of Trustees, Faculty, and Administrative officers during their period of service, those persons who have received a degree honoris causa from the University, and those persons whom the Association wishes to honor because of their devotion and generosity to the University or to the Association itself, shall be honorary members of the Association.

Section 4. Only regular members shall be entitled to vote on matters brought before the Association or to hold elected office in the Association.

Article V: Governance

Section 1. The Association shall be governed by a Board of Directors who shall plan, organize, and conduct the business of the Association.

Section 2. The Board of Directors shall comprise a minimum of six members as follows: four Executive Officers (President, Vice-President, Treasurer and Secretary), the immediate past President of the Association (if applicable), the Director of Alumni Affairs and the President of the University.

Section 3. The Board of Directors shall additionally include a number of Chairpersons of Standing Committees, appointed by the President of the Association in consultation with the existing Board members.

Section 4. Standing Committees may also comprise any number of active alumni appointed by the Board of Directors. Said alumni are welcome to participate in the meetings of the Board of directors, but would have no voting rights.

Section 5. With the exception of the Director of Alumni Affairs and the President of the University, all members of the board of directors shall serve a one-year term. This year shall be in line with the academic year following the members’ election or appointment.

Section 6. All members of the board of directors will have the right to vote at meetings held by the same. At all meetings, any motion (including the replacement of Board members and adjustments to this constitution) shall be passed provided a minimum majority is obtained and at least 50% of the members entitled to vote do so.

Article VI: Board of Directors

The following outlines the responsibilities of the members of the Board of Directors:

Section 1: The President shall preside at all meetings of the Alumni Association. He or she shall appoint, in consultation with the Board of Directors, the members of the Standing Committees, shall create special committees as deemed necessary and shall be, ex officio, a member of all Standing Committees.

Section 2: The Vice-President shall perform the duties of the President in the case of his or her absence or inability to act. The Vice-President shall serve, ex officio, as a member of all Standing Committees.

Section 3: The Secretary shall keep a record of the proceedings of the Association’s meetings. These minutes shall be reported to the Board of Directors as soon as possible.

Section 4: The Treasurer shall be the bookkeeper of the Association’s funds. He or she shall keep a record of the Association’s inflows and outflows and will prepare budgets for the Association’s activities.

Section 5: The immediate past President of the Association (if applicable) shall perform the duties of the President in the case of his or her and the Vice-President’s absence or inability to act. The immediate past President of the Association shall serve, ex officio, as a member of all Standing Committees.

Section 6: The Chairpersons of the Standing committees shall perform work related to the specific area for which they have been appointed. By way of example, the Chairperson of the Events committee shall perform work in connection with the organization of events such as the identification of the most suitable venues and resources for the event. Similarly, the Chairperson of the Fundraising committee shall perform work in connection with identifying the most suitable way to raise funds for the Association from sources internal and external to the Association.

Section 7: The Director of Alumni Affairs shall perform duties related to his or her intermediary role between the Alumni Association and the university. The Director of Alumni Affairs shall be responsible for updating the Alumni directory and shall provide administrative support to the Association. The Director of Alumni Affairs shall also act as spokesperson for the university in matters that involve the Alumni Association.

Article VII: Elections

The four Executive Officers shall be elected annually by all members of the Association.

Article VIII: Meetings

The Board of Directors shall hold periodic meetings to discuss and organize the activities of the Association throughout its year of office. The frequency and location of meetings shall be at the discretion of the Board of Directors.

Article IX: Other

All matters not specifically addressed by this constitution shall be dealt with on a case by case basis as deemed reasonable by the Association’s Board of directors and in the interest of the Association.
